Henry Schein acquisition of Plandent blocked for now

The Competition and Markets Authority has served an enforcement order on Henry Schein in relation to their completed acquisition of certain assets and business information of Plandent Limited, while it investigates this. Until a decision is made both companies must operate as separate businesses.
The Competition and Markets Authority (CMA) was formed to take over the functions of the Office of Fair Trading and the Competition Commission.
The CMA has ‘reasonable grounds; for suspecting that it is or may be the case that Henry Schein and certain assets and business information of Plandent Limited have ceased to be distinct. It is considering whether it is or may be the case that a ‘merger situation’ has been created and whether this has resulted or may be expected to result in a substantial lessening of competition in the UK
The CMA wishes to ensure that no action is taken which might prejudice a future decision or impede the taking of any action by them. The CMA has made an Order that to prevent any action which might lead to the integration of the Plandent’s business with Henry Schein or the transfer of ownership or control of the business.
