Bainbridge calls for DPA meeting

Neville Bainbridge who has been a member of the Dental Professionals Association for over 50 years and until 21st January was its Treasurer, has called for a Special General Meeting of the Association. This will decide on the demutualisation of the DPA. He and the acting chairman, Reg Short, have a agreed a framework for the meeting. |

DPA Chairman Reg Short and ex-Treasurer Neville Bainbridge have proposed a framework for the Special General Meeting which will decide on the demutualisation of the Dental Professionals Association.
In an email, Reg Short wrote "I have received a number of e-mail requests through you agreeing with your proposal to requisition a Special General Meeting. Since all matters so far have been progressed with legal advice bearing the Association’s Constitution in mind I feel it pertinent, as the individual most likely to be chairing such a meeting, to point out that certain requirements must be met under Rule 12. I refer to Rule 12) b) which requires that the requisition "be sent to the Registered Office of the Association by recorded delivery post and shall set out the matters it is intended that the Special Meeting shall discuss. The likely business of any such meeting is so important, I’m sure you’ll agree, that there must be no question over its constitutional correctness."
Ex-Treasurer and Fellow of the DPA Neville Bainbridge replied "I agree with you that there must be no question over this meeting’s constitutional correctness and I would like to agree the principles on which any Special General Meeting must be held.
1. Independent Chairman - as one of the matters which will be under discussion will be a decision taken by the Council under your temporary Chairmanship I feel that you are not an appropriate Chairman. I propose that we agree on an independent Chairman with proven integrity such as Paul Beresford or Anthony Colwyn.
2. The Registered Office of the Association is shown in the Constitution as 61 Harley Street. I propose that I serve the written requision notice to PO Box 1110 Canterbury Kent CT1 9LG and you personally simultaneously.
3. As this is effectively a demutualisation, the register of members entitled to vote shall be the members at the time demutualisation was proposed, which was 21st January 2012, as supplied by the DPA Office to GDPA Ltd.
4. The meeting shall be open to DPA members on the above register only.
5. There shall be a period of open debate leading up to a free vote and members will not be penalised at a later date for their views.
6. Both sides undertake not to offer financial or other inducements or bring pressure to bear on voters to support their argument.
